Kikashi Terms of Service

Effective Date: January 1, 2025

These Terms of Service describe your rights and responsibilities when using Kikashi. Please read them carefully. If you have any questions, contact us at legal@wolfecollective.com.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Kikashi, the project-management software-as-a-service platform operated by Wolfe Collective, LLC ("Wolfe Collective," "we," "us," or "our").

By creating an account, inviting teammates, accessing any dashboard, or otherwise using Kikashi (the "Service"), you agree to be bound by these Terms and our Privacy Policy (collectively, the "Agreement"). If you are using the Service on behalf of an organization, you represent that you are authorized to bind that entity and "you" will refer to that organization.

If you do not agree to these Terms, you must not access or use the Service.

2. Changes to the Agreement

We may update these Terms at any time in our discretion. Material changes will be communicated by email, in-app notice, or publication on our site.

Your continued use of the Service after the effective date of any update constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.

3. The Kikashi Service

Kikashi provides collaborative Kanban-style boards, lists, cards, checklists, automations, analytics, and related productivity tools delivered via web and mobile interfaces.

Features may include: organizational workspaces; member and role management; card commenting and attachments; analytics powered by PostHog or similar platforms; AI-assisted automation builders; and integrations or imports from third-party services such as Supabase-authenticated user stores or Trello data sources.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable for any modification or discontinuance.

4. Eligibility

You must be at least 18 years old (or the age of majority where you live) to use the Service.

You may not use the Service if you are barred from doing so under applicable law or under any agreement with Wolfe Collective or its affiliates.

5. Account Registration and Security

Registration requires a Supabase-authenticated account or other credentials we support. You agree to provide accurate information and keep it current.

You are responsible for safeguarding your login credentials and for all activities that occur using those credentials. Notify us immediately of any unauthorized use or suspected security breach.

We may suspend or terminate your account if we believe it is compromised or you violate these Terms.

6. Customer Content

"Customer Content" means data, text, files, comments, attachments, automations, or any other materials you submit to the Service. You retain all ownership rights to Customer Content.

You grant Wolfe Collective a worldwide, non-exclusive license to host, store, transmit, display, and otherwise process Customer Content solely to provide, maintain, secure, and improve the Service, comply with law, and fulfill support requests.

You represent that you have all necessary rights to submit Customer Content and that your submission will not infringe or misappropriate any third-party rights or violate any law.

7. Team Administrators and Invitations

If you create an organization or board, you control invitations, roles, and permissions for members within your workspace. You agree to obtain any required consents before inviting others and to manage their access responsibly.

Wolfe Collective is not responsible for disputes between you and other users regarding ownership or access to Customer Content.

8. Acceptable Use

You agree not to:

  • Use the Service for any unlawful, harmful, fraudulent, or infringing purpose;
  • Upload malicious code, attempt to gain unauthorized access, or interfere with network security;
  • Mine data or scrape the Service except through authorized APIs;
  • Misrepresent your affiliation or impersonate another person;
  • Use automations or AI features to send spam, violate privacy rights, or take actions you are not authorized to perform;
  • Reverse engineer or attempt to derive source code except as expressly permitted by applicable law;
  • Resell, lease, or provide the Service to third parties without our written consent.

9. Third-Party Services and Integrations

The Service relies on third-party platforms—including Supabase for authentication and storage, PostHog for analytics, OpenAI (or similar) for automation compilation, and optional imports from Trello or other services. Your use of those services is subject to their terms and privacy policies.

Wolfe Collective is not responsible for third-party services and disclaims all liability for acts or omissions of third-party providers.

10. AI, Automations, and Beta Features

Some features (such as automation builders or AI-generated suggestions) use machine learning models that may produce inaccurate or unexpected outputs. Always review results before relying on them.

We make no warranties regarding AI-generated outputs and you bear all responsibility for actions taken based on those outputs.

Features labeled as "beta," "preview," or similar are provided "as is," may change at any time, and may be subject to additional terms.

11. Fees and Payment

We may offer free, trial, or paid plans. Specific pricing and payment terms will be presented at the time of order or upgrade and are incorporated into these Terms.

Paid subscriptions renew automatically unless canceled in accordance with the plan terms. You authorize us or our payment processor to charge applicable fees and taxes to your designated payment method.

Fees are non-refundable except where required by law or expressly stated in the applicable plan.

12. Confidential Information

"Confidential Information" includes non-public information disclosed by Wolfe Collective that is marked or reasonably understood to be confidential, including product roadmaps, security controls, and non-public APIs.

You will protect Confidential Information with the same care you use for your own confidential data and will use it solely to exercise your rights under these Terms.

Confidential Information does not include information that is publicly available, already known to you, independently developed without use of our confidential information, or rightfully obtained from third parties.

13. Intellectual Property

Wolfe Collective owns all right, title, and interest in and to the Service, including software, designs, logos, trademarks, documentation, aggregated data, and derivative works (collectively, "Kikashi IP").

Except for the limited rights expressly granted, we do not grant you any rights to Kikashi IP. All goodwill arising from use of Wolfe Collective marks inures to Wolfe Collective.

You grant Wolfe Collective a perpetual, irrevocable, royalty-free license to use suggestions or feedback you submit to improve the Service without restriction.

14. Data Protection and Privacy

We process Customer Content and personal information in accordance with our Privacy Policy, which explains what data we collect, why we collect it, and how we share it.

You are responsible for obtaining all necessary consents from, and providing legally required notices to, end users whose data you upload into the Service.

You acknowledge that data is stored in Supabase (or other sub-processors) located in regions disclosed in our Privacy Policy, and you instruct us to process data there.

15. Security and Data Retention

We implement commercially reasonable technical and organizational measures to protect Customer Content against unauthorized access, loss, or disclosure.

You are responsible for maintaining backups of Customer Content. We do not guarantee that data will be retained for any period unless required by law.

Upon termination, we will delete or anonymize Customer Content within a reasonable timeframe, subject to any legal retention obligations.

16. Support and Service Levels

Unless a separate agreement provides otherwise, support is provided on a commercially reasonable basis via the channels described in the Service.

We do not guarantee uninterrupted availability. Planned maintenance or emergency downtime may occur.

17. Termination; Suspension

You may terminate your account at any time by following the instructions in the Service. Subscription charges already incurred remain payable.

We may suspend or terminate your access immediately if you breach these Terms, pose a security risk, fail to pay fees, or if required by law.

Sections that by their nature should survive termination (including ownership, confidentiality, warranties, liability, indemnities, and governing law) will survive.

18. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WOLFE COLLECTIVE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE, OR THAT AI/AUTOMATION OUTPUTS OR ANALYTICS WILL BE ACCURATE OR COMPLETE.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WOLFE COLLECTIVE AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO WOLFE COLLECTIVE FOR THE SERVICE DURING THE SIX MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.

20. Indemnification

You will defend, indemnify, and hold harmless Wolfe Collective, its affiliates, and their directors, officers, employees, and agents from and against any third-party claims, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Customer Content (including allegations that it infringes or violates rights);
  • Your use of the Service in violation of law or these Terms;
  • Any disputes between you and other users.

We reserve the right to assume exclusive control of any matter otherwise subject to indemnification, in which case you will cooperate with our defense.

21. Export Compliance

You represent that you are not located in, and will not use the Service from, any jurisdiction subject to U.S. trade sanctions.

You will not export, re-export, or transfer the Service or any related technology except in compliance with U.S. export laws and regulations.

22. Governing Law; Venue

This Agreement is governed by the laws of the State of California, without regard to its conflict-of-law principles.

The state and federal courts located in San Francisco County, California will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction in those courts.

23. Dispute Resolution; Class Action Waiver

Any claim must be brought on an individual basis. YOU AND WOLFE COLLECTIVE WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION.

To the extent arbitration is required by law, it will be conducted on an individual basis in accordance with the rules of the American Arbitration Association.

24. Miscellaneous

This Agreement constitutes the entire agreement between the parties regarding the Service and supersedes all prior or contemporaneous agreements.

You may not assign this Agreement without our prior written consent. We may assign or transfer it without restriction.

Any failure to enforce a provision is not a waiver. If any provision is found unenforceable, the remaining provisions will remain in effect.

Headings are for convenience only and do not affect interpretation.
